Terms of Service
Version 2026-11-01 · Last updated 2026-11-01
ON THIS PAGE
The short version
- Eddi makes videos for your business with AI. It can make mistakes, so check every video before you publish it. You are responsible for what you publish.
- Your footage, your brand material and your finished videos stay yours. You let us use them to run Eddi for you and to improve Eddi's editing for all our customers (we review videos, comments, work notes and check results, including with AI tools); we don't train AI models on them, and you can opt out of the improvement use by writing to us (section 7.4). Eddi's AI runs mainly on your own AI provider account (for example your own Claude), which you connect (section 10), and on Eddi's own account with our AI model provider for background work, free plans' allowance and when you haven't connected one. We don't let AI providers on our accounts train on your content (section 7.5). How we handle personal data is in our Privacy Policy.
- When Eddi adds music, sound or other material from outside sources, Eddi shows where it came from and its licence (section 9.2). You decide whether to use it, and the licence risk is yours (for example, music not cleared for ads, or a Content ID claim).
- Only upload what you have the right to use, and don't use Eddi to deceive people, copy other people's work, or fake real people without their consent. If you think something made or stored with Eddi infringes your rights, tell us (section 12).
- Eddi changes over time, and parts of it may be labelled beta, preview or early access: it may change, pause or break, and we don't promise it will always be available. Our liability is limited as set out in section 18.
- Paid plans are bought through our reseller, which is the Merchant of Record: it takes the payment, handles the tax and sends your invoices (section 6.3). Plans are paid in advance and renew automatically every month until you cancel; you can cancel at any time, and the plan then ends at the end of the month already paid for. Fees are non-refundable, except for charges made by mistake, if we end the Service or your plan without your fault, or where the law requires (section 6.6).
- Not paying or cancelling never deletes your work: it moves your Organisation to the free plan. But an Organisation on a free plan that nobody signs in to for a year is deleted automatically, after we email its members 30 days and 3 days before; signing in, or moving to a paid plan, stops it (section 16.6).
1. Who we are and what these Terms cover
1.1 Eddi is a service for making videos with AI, available at goeddi.com and run by Vernard Alexis Luz, an individual in the Philippines ("we", "us"), which provides the Eddi service ("Eddi"), of 115 GF Future Point Plaza 2, Mother Ignacia Ave., South Triangle, Quezon City 1103, Philippines. You can reach us at [email protected], or another contact method we publish on our website or in the app; wherever these Terms give that address, the other published methods work too.
1.2 These Terms of Service ("Terms") are an agreement between us and the organisation that uses Eddi (the "Organisation", "you"), and each person who signs in to Eddi as part of it (a "Member"). They cover Eddi in every form we offer it: the web app, any mobile or desktop apps, browser extensions, connectors and integrations (such as the connector for your own AI assistant, for example Claude), any API, and any related service we provide (together, the "Service").
1.3 Our Privacy Policy explains how we handle personal data, and forms part of these Terms. Refunds are covered in section 6.6; there is no separate refund policy. When you buy a paid plan, our reseller's own Buyer Terms and Privacy Policy also apply to the purchase (6.3).
1.4 If you have signed a separate written agreement with us (for example, an Enterprise or managed installation), that agreement wins where it conflicts with these Terms.
2. Accepting these Terms
2.1 You accept these Terms by ticking the box when you create your account or join an Organisation ("I agree to the Terms and Privacy Policy, and I'll only upload, import or link content I have the rights and consents for."); you can't create the account or join without ticking it. Ticking it also confirms, once, that you have the rights and consents for what you bring into Eddi (7.7). We record your acceptance with the version of these Terms and the time. Using the Service also means you accept them.
2.2 If you accept on behalf of an Organisation, you confirm that you have authority to bind it. If you don't have that authority, don't accept and don't use the Service.
2.3 Each Member who joins an Organisation also accepts these Terms personally, for their own use of the Service.
3. Who can use Eddi
3.1 Eddi is for businesses and professionals, not for personal or household use.
3.2 You must be at least 18 years old and able to enter a binding contract.
3.3 You may not use Eddi if you are barred from receiving services under applicable law, including sanctions laws.
4. Accounts, Organisations, admins and members
4.1 Access. We may limit who can create an account, for example through a waitlist, invitations or approval, and may open sign-up more widely at any time. Where access needs approval, we decide whether to approve and on which plan. An Organisation's first person is its owner; where we set up the Organisation, the owner joins through an invite link we send by email.
4.2 Roles. An Organisation has an owner, and can have admins and members. Owners and admins can invite people, remove them, set which brands they can access, and manage the Organisation's settings, connections and plan, within the limits of its plan. The Organisation is responsible for everyone it invites and for what they do in Eddi.
4.3 Account security. You sign in with email and password or, if offered, a third-party account such as Google. Keep your password, sign-in and any keys you add to Eddi confidential. You are responsible for activity under your account. Tell us promptly at [email protected] (or another contact method we publish) if you think your account or keys have been misused.
4.4 Accurate information. Give us accurate details (name, email, organisation name, website) and keep them up to date.
4.5 One person per account. Accounts are personal. Don't share sign-ins; invite the person instead.
4.6 Our administrators. Our own staff with administrative access ("super-admins") can see and act on Organisations to run, support, secure and bill the Service. We limit this to what those purposes need.
5. The Service, early access, and changes
5.1 What Eddi does. Eddi is an AI video editing service: it helps businesses make videos by having AI plan, write and edit them from your conversation with it, your footage, your brand material and other sources, with captions, voice, music, third-party material (section 9), checks and the like, as described on our website and in the app. What it does changes over time (5.3) and may depend on your plan and settings.
5.2 Beta, preview and early access. Any part of the Service we label beta, preview or early access is provided as is (section 17), may be incomplete, may change or end at any time, and may have usage limits and errors or interruptions. Free plans may have usage limits. When a beta or early-access free plan ends, Organisations on it move to our free plan and keep their work; if the free plan's limits are lower, we tell them at least 30 days before.
5.3 Changes. We improve Eddi continually, and changes (including to styles, checks and how videos are made) take effect automatically. We may add, change or remove features. If we remove a feature that is a material part of a paid plan, we will give you reasonable notice (at least 30 days), and you can cancel (6.3a).
5.4 No professional advice. Eddi is a creative tool. It doesn't give legal, regulatory, advertising-compliance or other professional advice, including about licences or ad claims.
5.5 Our intellectual property. The Service, including its software, design, instructions, styles, checks, templates and Eddi Materials (8.2), and the Eddi name and logo, belong to us or our licensors and are protected by intellectual property laws. These Terms give you the right to use the Service while your access lasts, and the licence in 8.3 for Eddi Materials in your videos; they don't transfer any of our rights to you, and all rights not expressly granted are reserved.
6. Plans, fees, usage limits and billing
6.1 Plans and prices. Eddi is offered on plans, which may include free plans, paid plans and custom plans under a separate agreement (1.4). Each plan sets limits (for example on brands, people, videos, storage and AI usage). The plans, their limits and their prices are those shown in the app or at checkout when you buy (and on our website, where we publish them). Prices are in the currency shown at checkout, billed monthly, and shown before tax: the Reseller adds the tax that applies at checkout (6.3(d)), and may show the price converted into your local currency. A paid plan includes only what it says at checkout: when you reach a limit, 6.2 applies.
6.2 Usage limits. When you reach a limit, Eddi may pause or decline new work until the limit resets, you upgrade, or (where offered) you connect your own AI account or keys (section 10), which can lift some limits. Limits on our servers (such as rendering and storage) still apply when you use your own AI account.
6.3 How you pay: Dodo Payments is our reseller. Our order process is conducted by our online reseller Dodo Payments (the "Reseller"). Dodo Payments is the Merchant of Record for all our orders: it sells the paid plan to you as an authorised reseller of Eddi, collects the payment, handles the sales tax, VAT or GST that applies, and issues your invoices and receipts. Dodo Payments' Buyer Terms and Privacy Policy apply to the purchase itself; these Terms apply to your use of Eddi. Where they differ on refunds, see 6.6.
- (a) Checkout. You buy a paid plan in the Reseller's checkout, which we open from Eddi. Only the Organisation's owner can buy it, for the Organisation. The Reseller accepts cards and other payment methods it offers in your country. Your payment details are given to the Reseller, not to us: we never see or store your card number.
- (b) Business purchase. Eddi is for businesses (3.1). At checkout you give your company name and tax ID (for example a VAT, GST or TIN number), and buy for that business.
- (c) Your plan starts when the payment succeeds. The Reseller tells us when your payment has gone through, and your plan starts then. We tell you by email or in the app.
- (d) Taxes and invoices. The Reseller works out and collects the tax that applies where you are, adds it at checkout, and sends your invoice or receipt by email. Our prices are shown before tax (6.1). Business buyers with a valid tax ID may have tax handled differently (for example, reverse charge); the Reseller's Buyer Terms say a sales-tax refund must be asked for within 60 days of the purchase, with a valid tax code. Questions about a charge, an invoice or tax go to the Reseller (the support address is in your receipt email), or to us at [email protected] and we'll help.
6.3a Subscriptions: automatic renewal, changes, cancellation and failed payments.
- Billing period. Plans are billed monthly, in advance, starting on the day of your first payment.
- Automatic renewal. Your plan renews automatically at the end of each month, and the Reseller charges the payment method on file for the next month at the then-current price (6.5), plus any tax, until you cancel. You get a receipt by email for each renewal.
- Plan changes. The Organisation's owner can upgrade at any time: the higher plan starts at once and the Reseller charges the difference for the rest of the current month, pro rata (proration). A downgrade takes effect at the start of your next month.
- Cancellation. Only the Organisation's owner can cancel, at any time, in the Reseller's customer portal (linked from your receipt emails; you sign in with the email used at checkout), or by writing to us at [email protected]. Cancellation takes effect at the end of the current period: the plan stays active until then, it doesn't renew, and you aren't charged again. After the plan ends, the Organisation moves to the free plan, with its limits, and keeps its work. Not paying, or cancelling, never deletes anything by itself: it only moves the Organisation to the free plan. (A free-plan Organisation that nobody signs in to for a year is deleted under 16.6.) Fees already paid are not refunded, except as set out in 6.6.
- Failed payments. If a renewal payment fails, the Reseller may retry it, and the owner can update the payment method in the customer portal. If it still hasn't been paid 7 days after the renewal date, we pause new work (you can still sign in and download your videos) until it is paid. If it remains unpaid 30 days after the renewal date, the subscription is cancelled and the paid plan ends (16.2): the Organisation moves to the free plan and keeps its work (16.6 then applies, as to any free-plan Organisation).
6.4 Third-party costs you pay directly. If you connect your own accounts or keys (for example with your own AI provider, or the AI footage, voice and music providers you choose to use), the provider bills you directly for that usage under its terms. Eddi doesn't ask before each paid step: it uses paid services on your keys as the work needs, within the monthly limits your Organisation sets in Settings. For providers that report credits, the limit is checked against the credits the provider reports as used on your key this month (for some providers this counts all use of the key, including outside Eddi) or reported for Eddi's work this month; for some, you can also set a number of credits to keep, below which Eddi stops using your balance with them. When a limit, or the provider's own credits running out, stops a call, the video's chat says why and Eddi carries on without it. Limits are off until you set them. We stay within the limits you set, but a limit is checked before each call, so a call in progress may take you slightly past it, and providers without a limit in Settings (for example your own AI provider key) are limited only by your account with them. Charges a provider makes to your account are yours, and we are not responsible for them.
6.5 Price changes. We may change prices with at least 30 days' notice by email to the Organisation's owner; the new price applies from the first renewal after the notice period. If you don't agree, you can cancel before that renewal (6.3a), and you won't be charged the new price.
6.6 Refunds.
- (a) Fees are non-refundable, except as set out in this section or where the law requires. There are no refunds for the period already paid for, including any unused part of it. You can cancel at any time (6.3a): cancelling stops the next renewal; the period already paid for keeps working until it ends. (The Reseller's Buyer Terms likewise say there are no refunds on unused subscription periods.)
- (b) Charges made by mistake. If you are charged by mistake (for example, twice for the same period, more than the price shown at checkout plus tax, or after you cancelled in time), tell us and the mistaken amount is refunded in full.
- (c) If we end the Service or your plan without your fault. If we end the Service (16.2), or end or suspend your paid plan for a reason that isn't your breach of these Terms or non-payment, the unused part of the period you prepaid is refunded, pro rata.
- (d) How refunds are paid. Refunds are issued through the Reseller, as the Merchant of Record, to the original payment method, for the full amount due including the tax charged on it. We ask the Reseller to issue the refund within 5 business days of our confirming it; how long it then takes to reach you depends on your card issuer or payment provider. To ask for one, write to [email protected] (6.6 is ours to apply), or to the Reseller's support.
- (e) Free use and your own keys. Free plans are free, so there is nothing to refund. Charges by providers on your own keys (6.4) are not paid to us; ask the provider.
- (f) Your rights under law. Nothing in these Terms limits rights you have by law that can't be excluded by contract, including any statutory or consumer rights where they apply to you (for example, rights if the Service is faulty or not as described).
6.7 Free use; trials. Paid plans have no free trial unless one is offered in the app or at checkout; free plans are the way to try Eddi. We may change, limit or end free access at any time, with notice where reasonable.
6.8 Disputed charges (chargebacks). If you think a charge is wrong, please contact us or the Reseller first: most problems are fixed faster that way, and the Reseller's Buyer Terms ask buyers to contact it before raising a chargeback. If a charge for your Organisation is disputed with the card issuer or payment provider, we may suspend the Organisation's paid plan (pausing new work; you can still sign in and download your videos) while the dispute is open, and end it if the dispute is decided against us without a valid reason (16.2). A successful dispute over a charge that was due doesn't cancel the amount owed. We keep records of your Organisation's orders, acceptance of these Terms and use of the Service (for example sign-ins, videos made, renders and AI usage) and may give them to the Reseller, as evidence in a dispute.
7. Your content
7.1 What "Your Content" means. Everything you or your Members bring into Eddi: footage, photos, audio, logos, fonts, brand guidelines, documents, scripts, prompts, messages, comments and feedback, material imported from connected sources (such as cloud drives or storage buckets), and your website content Eddi reads at your request.
7.2 You keep ownership. You (or your licensors) keep all rights in Your Content. We don't claim ownership of it.
7.3 Licence to us. You give us a worldwide, non-exclusive, royalty-free licence, for as long as you use the Service and for the retention periods in section 14, to host, store, copy, back up, transmit, transcode, transcribe, analyse (including with AI models), index, edit, combine and render Your Content, and to show it to the Members of your Organisation and to people you share it with, only to provide, secure and support the Service for you, and to improve Eddi as described in 7.4. This includes sending Your Content to the third-party providers listed in section 9.5 and 10 as needed to perform the task you asked for.
7.4 Improving Eddi. We use Your Content, the Outputs and the records Eddi keeps about its work for Organisations (for example the videos and drafts, comments, Eddi's work notes and chats, the results of its automatic checks, and usage and timing metrics) to improve Eddi's editing for all our customers: for example its styles, checks and instructions. To do this, we and the AI tools we use for analysis review videos, comments, work notes and check results.
- No AI training. We don't use Your Content to train AI models (7.5), and the AI work Eddi does on its own account with our AI model provider isn't used by that provider for training.
- Opting out. An Organisation can opt out of this use by writing to us at [email protected]; from then on we stop using its content and records to improve Eddi beyond its own Organisation.
- After deletion. When an Organisation is deleted (16.4, 16.6), its videos and footage are removed as described there. Only the improvement records (structured records of Eddi's work, such as check results and overrides, without the videos themselves) outlive it, for 12 months, and are then deleted.
- Eddi also learns within your Organisation (for example, your brand's style notes and lessons from your feedback): that is part of the Service and stays with your Organisation.
- Anonymous, aggregated usage statistics (that don't identify you or reveal Your Content) may be used to run and improve Eddi.
7.5 No training of third-party models. We don't use Your Content to train AI models, and we don't let our AI providers train on it, except as stated here or as you agree. The AI work Eddi does for you on its own account (background work such as indexing and reviews, free plans' allowance, and work when you haven't connected your own AI provider account, 10.5) runs on our AI model provider's commercial API, under its commercial terms, which say it doesn't train its models on content it receives through the API. Where your own provider account does the work (for example your own Claude through Eddi's connector, or your own Anthropic API key, which is the main way Eddi runs, 10.1), that provider's terms with you decide whether it trains on your data; a personal plan (for example a personal Claude plan) may allow training if you have opted in to it with the provider.
7.6 Your promises about Your Content. You promise that:
- you own Your Content or have all the rights, licences, consents and permissions needed for us to use it as these Terms describe, and for you to use it in the videos you make and publish;
- people: you have the consent (and, where needed, signed releases) of every identifiable person in your footage, audio and images to appear in, and be edited into, marketing videos, including the use of their voice and likeness and any AI processing of them; for minors, from a parent or guardian;
- music and other material inside your footage: you have the rights to any music, artwork, logos, trademarks or other third-party material that appears or is heard in your footage (for example, a song playing in the background of a creator's clip);
- websites and connected sources: you only point Eddi's website reader at websites that your Organisation owns or is authorised to have read (for example your own brand's site, or a client's site with the client's permission), and you only connect folders and accounts that you own or are authorised to use for this purpose;
- creator and influencer content: where your footage comes from creators, influencers or agencies, your agreements with them allow it to be edited and used as you intend (including in paid ads, cut-downs and AI edits);
- Your Content and your use of it comply with the law and with section 11.
7.7 Confirming your rights, once, at sign-up. When you tick the box to accept these Terms at sign-up (or when joining an Organisation) (2.1), you confirm, once, that you will only upload, import or link content you have the rights and consents for, as described in 7.6, including footage from creators, influencers, user-generated-content (UGC) platforms or agencies, batches imported from a connected folder (and files later added to a folder Eddi keeps watching) and content fetched from a link. Eddi doesn't ask again for each upload. The confirmation is one of the promises in 7.6, given for the Organisation and for yourself, and it covers everything you bring into Eddi while you use it. We keep a record of who ticked the box, when, and which version of these Terms they accepted.
7.8 We don't check Your Content. We don't review Your Content for rights or legality, and we are not responsible for it. We may remove or disable content that we reasonably believe breaks these Terms or the law, including after a rights complaint (section 12).
8. Outputs: the videos and other material Eddi makes
8.1 What "Outputs" means. The drafts, videos, scripts, captions, voiceovers, composed music, images, thumbnails, posts and other material Eddi produces for you.
8.2 Ownership. As between you and us, and once you have paid any fees due, we assign to you whatever rights we have in the Outputs made for you, except for: (a) third-party material in them (section 9), which stays under its own licence; (b) Eddi's own templates, styles, graphics, fonts, presets, code and know-how ("Eddi Materials"), which we license to you under 8.3; and (c) material others own.
8.3 Eddi Materials in your videos. We grant you a worldwide, non-exclusive, perpetual, royalty-free licence to use, copy, publish, broadcast and adapt Eddi Materials as part of the Outputs, including in paid advertising. You may not extract them and use or sell them separately from your videos (for example, as a template pack).
8.4 AI-generated material. Parts of the Outputs are produced by AI. In many countries, material made by AI without enough human creative input may not be protected by copyright, so you may not be able to stop others from copying it. We make no promise that any Output is protectable.
8.5 No uniqueness. AI may produce Outputs that are similar or identical to material it produces for others, and styles, music, voices and structures may repeat across customers. Outputs are not guaranteed to be unique, original or exclusive to you.
8.6 Voices. Eddi's built-in voices are synthetic and may be heard in other customers' videos. You may not present a synthetic voice as a specific real person's voice. Eddi doesn't offer voice cloning, and you may not use it to clone or imitate a real person's voice, even with their consent (section 11.4). Real people's own voices in your footage are Your Content (7.6).
8.7 Your responsibility for Outputs. See section 13: you review and approve Outputs before you use them, and you are responsible for how you use them.
9. Third-party assets and licences
This section matters. Please read it.
9.1 What "Third-Party Assets" means. Music, sound effects, stock footage, images, fonts, voices, AI-generated media and other material that Eddi finds, fetches or generates from outside providers and adds to (or proposes for) your videos. It does not include Your Content.
9.2 We show the source and licence. For each Third-Party Asset Eddi adds, we show where it came from and its licence with the video in the app, where available: where it came from (for example, the provider and the creator) and its licence (for example, "Creative Commons 0", "CC BY 4.0 — attribution required", or the provider's own licence).
9.3 You decide, and the risk is yours. It is your decision whether to keep each Third-Party Asset in a video and how you use the video. Licences differ: some material is cleared for any use, some requires attribution, some is limited to non-commercial use or excludes advertising, and some may be claimed by a content-identification system even when properly licensed. Eddi does not limit its search to material cleared for commercial use or ads: it may pick a sound or clip under any licence the provider offers, including non-commercial-only licences, and it shows that licence with the video in the app (non-commercial ones are flagged) so you can decide. If you want only certain licences, tell Eddi (for example, "only CC0 sounds") and it will search for those. You are responsible for:
- reading the source and licence shown with the video in the app (and the provider's terms) before you publish;
- complying with the licence, including any restrictions on commercial use, advertising, paid media, broadcast, resale or modification;
- giving any attribution the licence requires (for example, crediting a sound's creator in a post description), in the form the licence requires;
- platform rules, including copyright and Content ID claims (YouTube, Meta Rights Manager, TikTok and similar), ad-review policies, and requirements to label AI-generated or synthetic content;
- replacing or removing any Third-Party Asset you are not sure about. You can ask Eddi to swap it.
9.4 No warranty for Third-Party Assets. Third-Party Assets are provided "as is", under their providers' licences, not by us. We don't promise that a provider's licence information is accurate, that the uploader had the rights they claimed, or that an asset won't be claimed or taken down. If a provider or rights holder tells us an asset can no longer be used, we may remove it from the Service, and you must stop using it in new work.
9.5 Providers. Eddi uses outside sources for Third-Party Assets (stock media libraries, AI voice, music, image and footage services, ours or ones you connect with your own key, and font libraries). Each has its own terms and licences, which apply to the material it supplies. They may change; the current ones are listed at goeddi.com/providers.
9.6 Fonts, logos and other brand material. Fonts, templates, music and other material you upload as brand material are Your Content: you must hold the licence for using them in videos (for example, a font's desktop licence may not cover video or ads).
10. Connected accounts and keys
10.1 What you can connect. You can connect outside accounts to Eddi, such as:
- file sources: the cloud drives and cloud storage buckets (S3-compatible) Eddi supports (listed at goeddi.com/providers), to import footage and files, and, if you choose, to keep copies of uploads and drafts there;
- your own AI provider account (the main way Eddi runs), for example Anthropic's Claude: through Eddi's connector (below), or by adding your own API key with that provider (for example an Anthropic API key) so Eddi's work for your videos runs on your account;
- your own keys for other services: the AI footage, voice and music providers you choose to use, and sound libraries (for voices, music, sound effects, transcription, sound search, and AI images and video footage; listed at goeddi.com/providers); paid use stays within the monthly limits you set in Settings (6.4);
- Eddi's connector: lets your own AI assistant (for example Claude, in the Claude apps) use Eddi's tools to work on your videos, after you approve it on Eddi's consent screen. Work done through the connector runs on your own AI provider account, under your agreement with that provider (for example Anthropic), and Eddi records what the connector did in your Organisation.
10.2 You authorise us to act with them. When you connect an account or add a key, you authorise Eddi to access it and act with it on your behalf, as needed for what you ask, for example to list and download files, read a folder, run AI tasks or generate audio.
10.2a What Eddi does in your connected drives. Eddi reads the folders you point it at. It never moves, renames or deletes your files outside its own folder. Inside the folder you pick for Eddi in that drive (by default Eddi/<Brand>), Eddi creates, updates, moves and deletes files to keep copies of your uploads and drafts: it keeps them in Uploads/ and Videos/, moves copies it no longer needs to Deleted/, and permanently removes what has been in Deleted/ for 30 days. If you export to a connected drive, Eddi also writes to the export folder you choose. Don't keep files you need only in Eddi's folder.
10.3 Their terms apply. Your use of a connected service is governed by your agreement with that provider (for example the terms and usage policies of your AI provider, your cloud drive, and the voice, music, sound and AI footage providers you use). You are responsible for complying with them, for any charges they make, and for keeping your account in good standing. You can't connect a Claude Free, Pro or Max subscription to run Eddi's work on our servers; to use your own Claude, use Eddi's connector or add an Anthropic API key. Work on your own Claude or key is governed by your agreement with Anthropic, and Anthropic's charges for it are yours (6.4).
10.4 Keys. We store keys and tokens encrypted and use them only for your Organisation. You can remove a connection at any time in Settings; Eddi then stops using it. Removing it does not delete what was already imported. You should also revoke Eddi's access on the provider's side if you want to be sure.
10.5 Our AI providers. Eddi uses its own account with our AI model provider's commercial API, under that provider's commercial terms and within your plan's limits, for the work that runs without your own AI provider account: background work (for example indexing and reviewing footage in your library, and checks), free plans' allowance, and your videos when you haven't connected one. Eddi also uses its own keys for sound and stock footage searches. Paid voice and music services run only on your own key: without one, Eddi uses its built-in voices and composed music.
11. Acceptable use
You must not use Eddi, or the Outputs, to:
11.1 Infringe anyone's copyright, trademark, privacy, publicity, image or other rights, including by uploading footage, music or brand material you aren't licensed to use, or by imitating another brand's identity, ads or content in a way that could confuse people.
11.2 Deceive or mislead, including:
- making false, unsubstantiated or misleading claims about products or services (for example, health, results, pricing, discounts, "before and after" claims or endorsements) — you are responsible for the claims in your ads, and Eddi may flag claims it can't confirm from your brand material, but that is not a legal review;
- presenting AI-generated or staged content as real customer testimony, reviews or endorsements where that misleads, or hiding a paid relationship where the law or platform rules require disclosure;
- breaking advertising laws or platform ad policies.
11.3 Impersonate any person or organisation, or misrepresent your connection with them.
11.4 Make deepfakes, clone voices or impersonate real people: synthetic media that imitates a real person's face, body or voice (including voice cloning and face swaps), whether or not they consent. Eddi doesn't offer these features. Editing real footage of people who agreed to appear in it (7.6) is allowed; generating them saying or doing what they didn't is not. Also never use Eddi to depict anyone in a sexual, defamatory, harassing or politically deceptive way, and never involve minors in such content.
11.5 Create unlawful or harmful content, including content that is sexually explicit involving minors (zero tolerance; we report it), hateful, harassing, violent or threatening, that promotes illegal goods or services, or that is defamatory.
11.6 Misuse the Service, including: breaking or probing its security; accessing other Organisations' data; getting around plan limits or access rules (for example, by making several Organisations); reverse engineering it except where law allows; overloading it; scraping it; reselling or white-labelling it without our written agreement (agencies may make videos for their clients, but may not give clients their own Eddi sign-ins beyond the plan's people limit); or using it to build a competing product.
11.7 Break the rules of our providers, including our AI model provider's usage policy (and your own AI provider's); the policies of the voice, music, sound and stock footage providers; and, for AI images or footage, the terms and acceptable-use policy of the AI footage provider and those of the models it hosts, all of which apply to content made with them. The providers are listed at goeddi.com/providers.
11.8 Feed Eddi instructions hidden in content (for example in footage, files or websites) intended to make it act against these Terms or another Organisation.
We may investigate suspected breaches, remove content, and suspend or end access (section 16).
12. Copyright and rights complaints
12.1 Reporting content. If you believe that content stored in, made with or shared from Eddi infringes your copyright or other rights (for example trademark, image, voice or publicity rights), you can send a notice to our designated contact:
Vernard Alexis Luz (copyright contact for Eddi)
115 GF Future Point Plaza 2, Mother Ignacia Ave., South Triangle, Quezon City 1103, Philippines
[email protected] (subject line "Copyright notice")
12.2 What a notice must contain. To let us act, your notice must include:
- (a) your name, address, telephone number and email;
- (b) a description of the work or right you say is infringed (for a copyright, the work itself; for other rights, what the right is and who holds it);
- (c) enough detail for us to find the content, such as a link to a shared draft, the name of the video or Organisation if you know it, or a description and where you saw it;
- (d) a statement that you believe in good faith that the use isn't authorised by the rights holder, its agent or the law;
- (e) a statement that the information in the notice is accurate and, under penalty of perjury, that you are the rights holder or authorised to act for them;
- (f) your physical or electronic signature.
A notice that is missing these details may not be acted on. Knowingly false notices may make the sender liable for the damage they cause.
12.3 What we do. When we receive a notice that meets 12.2, we may, and where the law requires we will, promptly remove or disable access to the content concerned (for example a file, a library clip, a draft or a shared link), and we tell the Organisation whose content it is, with a copy or summary of the notice (we may leave out the sender's personal details where the law allows). We may also act on our own initiative or on incomplete notices where we reasonably believe the content breaks these Terms or the law. Removing content isn't an admission that it infringes.
12.4 Counter-notice. If your content was removed or disabled and you believe this was a mistake or that you have the right to use it, the Organisation's owner or an admin can send a counter-notice to the contact in 12.1, with:
- (a) your name, address, telephone number and email;
- (b) identification of the content that was removed and where it was in Eddi before;
- (c) a statement, under penalty of perjury, that you believe in good faith that the content was removed by mistake or misidentification;
- (d) your consent to the jurisdiction of the courts of the judicial district where you are (or, if you are outside the United States, any judicial district in which we may be found), and that you will accept service of process from the person who sent the notice;
- (e) your physical or electronic signature.
We send the counter-notice to the person who sent the notice. Unless they tell us within 10 business days that they have started legal action to stop the use, we may restore the content.
12.5 Repeat infringers. We end, in appropriate circumstances, the accounts of Members and Organisations that repeatedly infringe others' rights. Three valid notices within 12 months that are not successfully countered end the account; one may be enough for a serious or wilful case.
12.6 Third-Party Assets. If a notice concerns a Third-Party Asset that Eddi found or fetched (section 9), we may also remove it from the Service and stop offering it; you must stop using it in new work (9.4). Copies already in videos you have published are your responsibility (9.3).
12.7 Not legal advice; other routes. This procedure is for complaints to us. It doesn't replace a platform's own process (for example YouTube Content ID or Meta Rights Manager disputes) for videos you have published there.
13. AI: limitations and your review
13.1 AI makes mistakes. Eddi's AI can be wrong. It may mishear or mistranscribe speech, misspell names, get facts, prices or product details wrong, choose the wrong clip, produce visual or audio glitches, or produce content you find unsuitable. Eddi runs automatic checks, but they don't catch everything.
13.2 Review before you publish. You must review every Output in full — picture, sound, text, captions, claims and Third-Party Assets — before you publish, broadcast, run as an ad or otherwise use it. Eddi's "Review for me" suggestions and checks help, but do not replace your review.
13.3 You are responsible for what you publish. Publishing or using an Output is your decision and your responsibility, including its compliance with law, licences, platform rules and AI-labelling rules.
13.4 AI labels. Some platforms and laws require you to label content made or changed with AI (for example, synthetic voices or generated footage). You are responsible for applying those labels.
14. Privacy, data location, deletion and export
14.1 Privacy Policy. Our Privacy Policy explains what personal data we collect (for example account details, usage data, and personal data in Your Content such as people's faces and voices in footage) and how we use it.
14.2 Processing personal data for you. Where Your Content contains personal data, you are responsible for having a lawful basis and giving any notices needed, and we process it on your instructions to provide the Service.
14.3 Where your data is. Your Content is stored and processed on our servers and our providers' servers, which may be in the Philippines, Singapore, the United States, the EU or other countries. This includes the providers you use through Eddi (sections 9 and 10), above all our AI model provider. The Privacy Policy (section 7.2, also at goeddi.com/providers, and section 8) shows where each provider processes data.
14.4 Subprocessors. The Privacy Policy (section 7) names the providers that receive personal data or Your Content, what each receives and why: our AI model provider, our hosting provider, our storage and backup provider, our network provider, our email delivery provider (for invites and resets), a monitoring and logs provider for our request logs, business tools we may use to run Eddi as a business (customer support and chat, CRM and sales, product analytics, error and performance monitoring, scheduling, surveys, and affiliate or referral programmes; each named in the list once used), and, when you use them, the cloud drives, the AI footage, voice and music providers and the sound and stock footage libraries you choose to use, and the sites you ask Eddi to fetch a link from. Paid plans are sold through the Reseller, our Merchant of Record (6.3), which handles the payment and your billing details as its own controller under its own Privacy Policy, and tells us what we need to run your plan. The list may change, and we keep it current at goeddi.com/providers (the website's own providers, such as hosting, booking, email and advertising tools, are listed there too). For providers that receive Your Content (our subprocessors), we will tell you at least 30 days before we add or replace one, by email to your Organisation's owner and admins, so you can object or stop using the Service.
14.5 Export. While your account is active, you can download your finished videos and drafts and your uploaded files.
14.6 Deletion. You can delete videos and uploaded files in the app, and archive brands and projects. Deleted uploads can be restored for 30 days, then are permanently deleted from the Service. Brand kit files you remove can be restored for 30 days, after which we may delete them. To have an Organisation, a person's account or other data removed, ask us: we remove it from the Service on request. An Organisation on a free plan that nobody has signed in to for a year is deleted automatically (16.6). Our off-site backup follows deletions about 30 days late: a file deleted in the Service is removed from the backup 30 days after the backup first finds it gone (later if a backup pass finds an unusual amount missing at once and waits for us to check), and the daily copies of our database (which hold account and Organisation records) are each kept for 14 days. See section 16.4.
15. Confidentiality, security and availability
15.1 Confidentiality. Each of us will keep the other's non-public business information confidential, use it only for this agreement, and protect it with reasonable care. Your Content is your confidential information. This doesn't cover information that is public, already known, independently developed or lawfully received from someone else, or that must be disclosed by law (we will tell you first where we lawfully can).
15.2 Separation between Organisations. Each Organisation's content is kept separate and isn't visible to other Organisations.
15.3 Security. We use reasonable technical and organisational measures to protect the Service and Your Content, including encryption of stored keys and access controls. No system is completely secure. We will notify you without undue delay of a security breach that affects Your Content, as the law requires.
15.4 Availability. We aim to keep Eddi running, but we don't promise any level of availability, speed or render time, and there is no service-level agreement unless we sign one with you. Eddi may pause work for maintenance and updates (videos in progress may show "Waits for the app to restart"), and work may be slower when our AI providers have limits or outages.
15.5 Backups are not your archive. Keep your own copies of anything important, including your original footage and final videos.
16. Suspension and termination
16.1 You can stop at any time by asking us to end your account or delete your Organisation (section 24); there is no delete option in the app. Cancel a paid plan first (6.3a), so it doesn't renew: it runs to the end of the period you paid for. Refunds are in 6.6.
16.2 We may suspend or end access, to all or part of the Service, for you or any Member: (a) if you break these Terms or don't pay (including a failed renewal, 6.3a, or a disputed charge, 6.8); (b) to prevent harm, a security risk or legal liability; (c) if a provider we rely on requires it (including the Reseller, for the paid plan); or (d) for Organisations on a free plan, at our discretion. Where reasonable we will give notice and a chance to fix the problem first. When we end a paid plan, we cancel its subscription so it isn't charged again. If we end your paid plan for a reason other than your breach or non-payment, the unused part of the prepaid period is refunded through the Reseller (6.6). We may also end the Service for everyone with 30 days' notice, cancelling every subscription, with a pro-rata refund of prepaid fees (6.6).
16.3 Admins can remove Members. An Organisation's owner or admins can remove a Member's access; the Member's work stays with the Organisation.
16.4 What happens to your data after. When your account ends, or when you ask us to delete an Organisation, it is stopped at once and kept in a deleted state until we purge it. You can ask us to restore it or to let you download your content before then. When we purge it, we permanently delete from the Service its brands, videos, chats, drafts, library, brand kit, uploads, settings and connections, the footage we stored for it, and our access to the drives you connected. We keep records of usage, renders, spend and our audit log for billing, security and to improve Eddi; these keep counts and dates but not the content of your videos. After the purge, the audit log is kept for 2 years and the improvement records (7.4) for 12 months, and each is then deleted; billing records are kept as the Privacy Policy (section 9.1) says. On request we also erase a person's account: their name, email, password, photo, sign-ins and connections are removed, their email is removed from our records, and work they made for an Organisation stays with it, shown as "Former member". A purge removes the Organisation's data from our servers at once. Its copies in our off-site storage (the footage originals we stored for it, and the backup copies of its library, brand kit, uploads and the stored files only it had) are removed 30 days after the purge, so a mistaken purge can still be undone in that time: until then we can cancel the removal and restore the Organisation. For that, we also keep a copy of our database made just before the purge, which is deleted when the 30 days are up, whether or not the purge was cancelled. The daily copies of our database made before the purge still hold its records until each is deleted, 14 days after it was made. Copies of anything deleted earlier leave our backups about 30 days after its deletion (14.6).
16.5 What survives. Sections on fees owed, licences you've received in Outputs, Third-Party Asset responsibility, confidentiality, disclaimers, limitation of liability, indemnity, and governing law survive the end of these Terms.
16.6 Idle free Organisations are deleted. An Organisation on a free (unpaid) plan that nobody has signed in to for 1 year is deleted automatically. The year counts from the later of (a) the last sign-in by any of its Members and (b) the day it moved to the free plan (for example when a paid plan ended, 6.3a). We email its Members 30 days and 3 days before the deletion. Any Member signing in, or the Organisation moving to a paid plan, stops it, and the year starts again from then. Not paying, or cancelling, never deletes anything by itself (6.3a); only this year without a sign-in on the free plan does. The deletion is a purge as in 16.4: its data is removed from our servers at once; its copies in our off-site storage, and a copy of our database made just before, are kept 30 days (so a mistaken deletion can still be undone) and then removed; the records in 16.4 are kept for the periods stated there. Download anything you want to keep before then.
17. Disclaimers
17.1 THE SERVICE, OUTPUTS AND THIRD-PARTY ASSETS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT OUTPUTS WILL BE ACCURATE, LAWFUL, ORIGINAL OR FIT FOR ANY PLATFORM, OR THAT VIDEOS WILL PERFORM (FOR EXAMPLE, IN VIEWS OR SALES).
18. Limitation of liability
18.1 To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, or for ad spend, however caused.
18.2 Our total liability for all claims relating to the Service in any 12-month period is limited to the greater of (a) the fees paid for the Service (to us, or to the Reseller, excluding tax) in the 12 months before the claim and (b) US$100. For a free plan, it is limited to US$100.
18.3 These limits don't apply to your payment obligations, your indemnity (section 19), breach of confidentiality, fraud, gross negligence or wilful misconduct, or anything that can't be limited by law.
19. Indemnity
19.1 You will defend, indemnify and hold harmless Eddi, Vernard Alexis Luz, and our officers, employees and contractors from any third-party claim, and the resulting losses, damages, fines, settlements and reasonable legal costs, arising from:
- (a) Your Content, including claims that it infringes rights or that you lacked consent from people appearing in it, or rights to music or other material in it;
- (b) your choices about Third-Party Assets, including keeping an asset in a video against or without regard to its licence, not giving required attribution, or using it in a way the licence doesn't allow;
- (c) your use of Outputs, including ad claims, endorsements, platform-rule or AI-labelling breaches, and anything you publish;
- (d) your breach of these Terms or the law, or of a connected provider's terms;
- (e) your Members' actions.
19.2 We'll tell you promptly about such a claim, let you control the defence (we may join with our own lawyer at our cost), and you won't settle a claim that makes us admit fault or pay without our consent.
20. Feedback
If you give us suggestions or feedback about Eddi, we may use them freely without owing you anything. This doesn't cover Your Content or your comments on your own videos, which stay Your Content.
21. Changes to these Terms
21.1 We may update these Terms. For material changes we will give at least 30 days' notice by email and/or in the app before they take effect, except where a change is needed sooner by law or for security. Members may be asked to accept the new version when they next sign in.
21.2 If you don't agree to a change, you can stop using Eddi and cancel before it takes effect (6.3a). Using Eddi after the effective date means you accept the change.
22. Governing law and disputes
22.1 These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules.
22.2 Disputes. We'll first try to resolve any dispute informally: write to us at [email protected] and we'll try to resolve it within 30 days. If we can't, the courts of Quezon City, Philippines, have exclusive jurisdiction. Either party may seek urgent injunctive relief in any competent court.
23. General
23.1 Entire agreement. These Terms, the Privacy Policy and any order form or written agreement are the whole agreement between us about the Service.
23.2 Assignment. You may not transfer these Terms without our consent. We may transfer these Terms, and the data we hold under them (including Your Content and the personal data in it), to a company we form to run Eddi, to an affiliate, or to a successor to the business (for example in a sale, merger or reorganisation), with notice to you; the new provider then takes our place under these Terms and the Privacy Policy.
23.3 Subcontractors. We may use subcontractors and providers to run the Service and remain responsible for our obligations.
23.4 Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including outages of AI, hosting or storage providers.
23.5 Severability; no waiver. If part of these Terms is unenforceable, the rest stays in force. Not enforcing a right isn't a waiver of it.
23.6 Notices. We send notices to the email of your Organisation's owner and/or in the app. You send notices to [email protected] (or another contact method we publish, 1.1), or by post to the address in section 24.
23.7 Language. These Terms are written in English; if translated, the English version wins.
23.8 Independent parties. Nothing in these Terms creates a partnership, agency or employment relationship.
